Vertiv Holdings announced Wednesday it will acquire Utility Innovation Holdings, also known as UtilityInnovation Group (UIG), for $1.45 billion in cash.
The deal also includes up to $1.15 billion in contingent payments tied to EBITDA targets over 12 and 24-month periods, bringing the total potential deal value to $2.6 billion.
VRT stock was trading slightly mixed Wednesday, down around 0.3% in early trading before recovering to roughly flat by midday.
The acquisition values Utility Innovation at approximately 13x its projected 2027 EBITDA. Vertiv said the deal is expected to be accretive to adjusted earnings per share in the first full year after closing.
Completion is expected in the fourth quarter of 2026.
What Utility Innovation Brings to the Table
Utility Innovation specialises in on-site microgrid power systems and behind-the-meter power architecture for data centers. It also makes software to manage energy in real time.
These are not small niche capabilities. As AI data center demand grows, getting connected to the grid quickly has become one of the biggest constraints operators face.
Vertiv said the addition of Utility Innovation’s technology is expected to “help data center operators secure power faster as grid constraints increasingly limit AI infrastructure deployment.”
Microgrid systems can coordinate on-site power generation and energy storage, reduce dependence on utility grids, and even feed power back into the grid when needed.
The deal adds microgrid controls, on-site generation, energy storage orchestration, and behind-the-meter architecture to Vertiv’s existing data center infrastructure portfolio.
Deal Comes as AI Backlash Grows
The timing of the acquisition is not accidental. There has been growing political and community opposition to connecting large AI data centers to municipal power grids.
By building out its microgrid capabilities, Vertiv is positioning itself to help customers work around those constraints rather than fight them.
Vertiv noted that power architecture decisions made early in site development can have major downstream effects on infrastructure build-out.
VRT stock has gained 58% year-to-date, a solid run by any measure. But the stock has dropped around 23% over the past three months as the broader AI trade has pulled back.
Vertiv’s July earnings report was also poorly received by the market, adding further pressure to the stock in recent months.
Wall Street remains constructive on the name. All 16 analysts covering VRT have a Buy rating, giving the stock a Strong Buy consensus.
The average price target of $344.36 implies around 34% upside from current levels.
The deal is set to close in Q4 2026, pending standard regulatory approvals.
