Intercontinental Exchange (ICE) stock fell 1.26% to $152.34 after announcing a major fixed income acquisition across global capital markets. ICE agreed to buy MarketAxess for $167 per share in an all-cash transaction. The deal values MarketAxess equity near $6.0 billion and carries a $5.7 billion enterprise value.

ICE Targets a Larger Fixed Income Network
The agreement combines ICE’s bond data operations with MarketAxess’s institutional electronic trading network. MarketAxess connects about 2,100 institutions and dealers across more than 90 countries. Its platform covers corporate bonds, municipal debt, Treasuries, Eurobonds, and emerging market instruments.
ICE already runs a large retail bond marketplace and a global index business. The company also supplies pricing, reference data, analytics, and market connectivity to financial firms. Therefore, the acquisition extends ICE across retail, wealth, and institutional fixed income markets.
The combined platform will link pre-trade analysis, electronic execution, and post-trade compliance tools. Clients will gain access to broader liquidity and more detailed bond pricing information. ICE expects the integrated system to reduce operating friction and improve fixed income trading efficiency.
Cash Deal Includes Premium and New Debt
ICE will pay $167 for each outstanding MarketAxess share under the signed agreement. That price represents a 33% premium to MarketAxess’s July 29 closing price. ICE plans to finance the purchase through bonds, commercial paper, and a term loan.
Both companies’ boards approved the transaction, while MarketAxess shareholders must still vote. The deal also requires regulatory approvals and other standard closing conditions. ICE expects to complete the acquisition during the first half of 2027.
The company projects $100 million in annual expense savings within three years after completion. ICE also expects the transaction to increase adjusted earnings during the first full year. The purchase price equals about 10.6 times MarketAxess’s trailing EBITDA after expected savings.
ICE Expands Bond Market Strategy
The acquisition strengthens ICE’s effort to modernize the fragmented global bond market. Outstanding global debt totals an estimated $145.1 trillion across government and corporate instruments. Many fixed income transactions still rely on manual processes and direct dealer negotiations.
ICE has built pricing systems, analytics products, indexes, and electronic marketplaces across several financial sectors. MarketAxess adds a major institutional network and established electronic bond execution tools. Together, both businesses will cover more stages of the fixed income trading process.
ICE will raise its baseline quarterly share repurchases from $350 million to $400 million. Gross leverage should begin near 3.4 times after the deal closes. The company targets leverage of 3.0 times or lower within 18 to 24 months.
